XP is your problem. The SDisk utility doesn't work in post ME-type MS OS's.
Do this:
1) Put the .out files on a non-NTFS hard drive. Usually this is your
recovery partition that most people have. The reason you do this is because
in the next step, you won't be able to access NTFS drives.
2) Download the Win98 Boot Disk with SDisk on it.

3) Unzip the file (the boot disk maker), and run the file
(win98bootdisk.exe). This process creates your Win98 Boot Floppy.
4) With floppy in your drive, reboot your computer. It should boot off the
floppy, and it is automated to create a RAMDisk and put SDisk, along other
programs, on the RAMDisk (should assign it as the k: drive).
5) After all this finishes, the command line should appear. Type "sdisk"
(without the quotes) and hit ENTER. Use SDisk to write each file to a new
floppy disk. (For instructions how to use SDisk, type "edit sdisk.txt"
(without the quotes) and hit ENTER.)
6) Reboot your computer with no floppies in the drive; it should boot up
normally into XP.
